These Terms & Conditions ("Terms") govern your use of the PURforms website located at www.purforms.com (the "Site"). By accessing or using the Site, you agree to these Terms. If you do not agree to these Terms, do not use the Site.

1. Website Use

The Site is provided for general informational, business development, and contact purposes. You agree to use the Site only for lawful purposes and in a manner that does not infringe on the rights of, restrict, or inhibit anyone else’s use of the Site.

2. No Offer or Contract

Information on the Site is provided for general information only and does not constitute a binding offer, quote, engineering commitment, production agreement, or other contractual obligation unless expressly confirmed by PURforms in a separate written agreement.

Submission of a form, request, inquiry, or project information through the Site does not create a customer, supplier, fiduciary, or confidential relationship beyond what is required by law or expressly agreed in writing.

3. Intellectual Property

All content on the Site, including text, graphics, logos, images, layout, design elements, software, and other materials, is owned by PURforms or used with permission and is protected by applicable intellectual property laws.

You may view and print Site content for your own internal, non-commercial business use. You may not reproduce, republish, distribute, modify, transmit, reuse, create derivative works from, or otherwise exploit Site content without prior written permission from PURforms.

4. User Submissions

If you submit information through the Site's contact form, including your contact details, service interest, volume estimate, or an optional project description, you represent and warrant that the information is accurate to the best of your knowledge, that you have the right to provide it, and that it does not violate any law, confidentiality obligation, or third-party right.

If you provide personal information relating to another individual, you represent that you have the authority to do so and, where required, have provided any required notice or obtained any required consent.

You understand and agree that submissions made through the Site are not a secure means of transmitting confidential, proprietary, sensitive, export-controlled, regulated, or trade secret information unless PURforms has expressly agreed otherwise in writing and appropriate safeguards are in place. If you have such information relating to a project or other matter, you should not submit it through the Site unless an appropriate confidentiality agreement and transmission method have been established.

5. Acceptable Use

You agree not to use the Site in violation of any law or regulation; attempt to gain unauthorized access to the Site, server, or related systems; introduce malicious code, viruses, bots, or harmful material; scrape, harvest, or collect Site content or contact data without permission; use the Site to send spam, misleading inquiries, or fraudulent submissions; interfere with the security or proper functioning of the Site; or use any automated means, including robots, spiders, or monitoring tools, to access the Site for unauthorized competitive intelligence, lead harvesting, artificial intelligence model training, or data extraction purposes.

You also agree not to use the Site or information obtained from the Site in a manner that violates privacy, data protection, marketing, export control, sanctions, or intellectual property laws; impersonate another person or entity; misrepresent your affiliation; submit information that is false, misleading, or deceptive; or probe, scan, test, or circumvent the vulnerability, authentication, consent, or security mechanisms of the Site or related systems.

6. Export Control

The Site is intended for use in compliance with all applicable U.S. export control and sanctions laws and regulations. By using the Site, you acknowledge that we may collect, use, disclose, and otherwise process information as described in the Privacy Policy. Where applicable, your use of the Site is also subject to any cookie banner, consent manager, or “Your Privacy Choices” mechanism presented on the Site. To the extent of any conflict between these Terms and the Privacy Policy regarding data collection, use, disclosure, or other privacy matters, the Privacy Policy will control with respect to those matters.

9. Reservation of Rights

PURforms reserves the right, in its sole discretion and without notice, to monitor use of the Site; investigate suspected violations of these Terms; use technological, contractual, or operational measures to detect, prevent, block, or mitigate abusive, unlawful, automated, or unauthorized activity; and restrict, suspend, block, or terminate access to the Site or any portion of it for any user, browser, device, IP address, account, or network that PURforms believes has violated these Terms, attempted to compromise Site security, engaged in scraping or abusive activity, submitted false or misleading information, or otherwise created risk or potential liability for PURforms.

10. Disclaimers

The Site and its content are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, PURforms disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, availability, and uninterrupted operation.

We do not warrant that the Site will always be available, secure, or error-free; that Site content is complete, accurate, or current at all times; that defects or errors will be corrected immediately; or that the Site is free of viruses or other harmful components.

11. Limitation of Liability

To the fullest extent permitted by law, PURforms shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or similar damages arising out of or related to your use of, or inability to use, the Site, even if advised of the possibility of such damages. This limitation applies regardless of the theory of liability, including contract, tort, negligence, strict liability, or otherwise.

Notwithstanding the foregoing, nothing in these Terms limits PURforms' liability for damages caused by its own gross negligence or willful misconduct, or to the extent such limitation is prohibited by applicable law.

If PURforms is found liable for any claim related to the Site, and such liability is not excluded by the foregoing, our total liability shall not exceed one hundred U.S. dollars ($100.00), or the minimum amount permitted by applicable law, whichever is greater.

12. Indemnification

You agree to indemnify, defend, and hold harmless PURforms and its officers, owners, employees, agents, and affiliates from and against claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to your violation of these Terms; your misuse of the Site; your infringement of any rights of another person or entity; your submission of information, data, or materials that you did not have the right to provide, including personal information, confidential information, or proprietary materials of a third party; or your violation of any privacy, data protection, marketing, confidentiality, export control, or intellectual property law in connection with your use of the Site.

13. Governing Law and Venue

These Terms shall be governed by the laws of the State of Michigan, without regard to conflict of law principles. Any dispute arising out of or relating to the Site or these Terms shall be brought exclusively in the state or federal courts located in Michigan, and each party consents to the personal jurisdiction and venue of those courts, except to the extent applicable law prohibits exclusive venue.

14. Changes to These Terms

We may revise these Terms from time to time by posting an updated version on the Site. Any revised Terms become effective when posted unless a different effective date is stated. Your continued use of the Site after the revised Terms become effective constitutes your acceptance of those revised Terms to the extent permitted by law.

15. Force Majeure

PURforms shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, pandemic, epidemic, war, terrorism, civil unrest, government action, labor disputes, internet or telecommunications outages, or failure of third-party service providers.

16. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severed from these Terms and shall not affect the validity and enforceability of any remaining provisions.

17. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices or policies posted on the Site, constitute the entire agreement between you and PURforms with respect to your use of the Site and supersede all prior or contemporaneous understandings or agreements relating to that subject matter. No waiver by PURforms of any breach or default shall be deemed a waiver of any subsequent breach or default.
